The simplified limited liability company (SARL-S) is a form of commercial company that derogates from certain rules specific to the classic limited liability company (SARL).
The SARL-S aims to free entrepreneurs from certain constraints related to the creation of a SARL. Thus, the minimum share capital is reduced to one euro and its constitution can be carried out by private deed, without the intervention of a notary.
The SARL-S is a tool for immediate access to economic activity for new entrepreneurs.
The main features of SARL-S are:
- minimum share capital of €1,-
- does not require the intervention of a notary
- only natural persons can be associated (within the limit of a SARL-S)
- no dividend distribution
- operation identical to that of the classic SARL (manager or management board)
- partner liability limited to contributions
- requires a business license
- requires the presence of the manager in Luxembourg and the existence of a commercial lease contract
The SARL-s is depending on the activity carried out, subject to VAT and subject to various taxes (CIT, MBT, NWT).
The manager of the SARL-S must hold a business license in connection with the activity carried out by the company.
